Welcome to WorkOwl. These Terms and Conditions (“Terms”) govern your access to and use of the WorkOwl website, platform, services, and all related content (collectively referred to as the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.

1. Use of Service

You must be at least 16 years of age to use WorkOwl. By using the Service, you affirm that you meet this age requirement and have the legal capacity to enter into binding agreements. You agree to use the Service only for lawful purposes and in accordance with these Terms. This includes complying with all applicable laws, regulations, and industry standards in your region or jurisdiction.

You are responsible for ensuring that your use of the Service does not violate any rights of others, including intellectual property rights, data protection rights, and contractual obligations. Any misuse of the platform or breach of these terms may result in suspension or termination of your account.

Additionally, you are solely responsible for maintaining the security and confidentiality of your account credentials. You must not share your login details with others or allow unauthorized access to your account. You are fully responsible for all activities that occur under your account, whether or not you authorized them. If you suspect any unauthorized access or breach of your account security, it is your responsibility to inform us immediately so that we can take appropriate action.

2. Pricing Plans

WorkOwl offers both free and paid subscription plans to accommodate a wide range of teams, workflows, and budgets. The Free Plan provides access to essential features that allow users to evaluate the platform and use it for limited purposes without incurring any costs. It’s an ideal entry point for individuals or small teams who want to get familiar with WorkOwl’s functionality.

Paid Plans unlock additional tools, integrations, and administrative controls designed for more complex use cases and collaborative environments. These subscriptions are billed on either a monthly or annual basis, depending on the plan selected during sign-up.

You may upgrade, downgrade, or cancel your subscription at any time through your account settings. Any change in plan level will take effect at the end of your current billing cycle unless otherwise specified. This allows you to explore new plan tiers and adjust your account according to your evolving needs without disrupting your current access.

3. Billing and Payment

WorkOwl allows account administrators to add team members to their subscription. The billing for each team member seat follows the same billing frequency as the primary account (monthly or annual). For example, if your primary plan is billed annually, any added team members will also be billed on an annual basis, calculated proportionally to the remaining time in your billing cycle.

If a team member is removed during an active billing period, no partial refunds or credits will be issued. However, the seat will remain available and can be reassigned to a different user at any time during the current billing term. This approach allows administrators to manage their teams flexibly without incurring additional charges for replacing team members within the same billing cycle.

Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you choose. You authorize us to charge the payment method associated with your account for the applicable subscription fees and any taxes or additional charges.

Prices for the Service are subject to change. We will provide notice of any pricing changes before your next billing cycle.

4. Refund Policy

We do not offer refunds for any paid subscription, including partial refunds for unused time within a billing cycle. WorkOwl provides a Free Plan that allows users to explore and evaluate the platform before subscribing to a paid plan.

If you choose to cancel your subscription, your paid access will remain active until the end of your current billing period. No further charges will be made after cancellation, and no prorated refunds will be issued.

We strongly encourage users to take advantage of the Free Plan to determine whether WorkOwl meets their needs prior to upgrading to a paid subscription.

5. Subscription Suspension for Non-Payment

If your payment is not successfully processed within seven (7) days of the due date, WorkOwl reserves the right to suspend access to your paid features until the outstanding balance is settled. You will receive automated reminders via email during this grace period.

During suspension, your data and account settings will remain intact, but access to premium features will be restricted. Once payment is completed, access will be restored promptly without loss of data.

Persistent failure to resolve outstanding payments may lead to account termination or data removal in accordance with our data retention policy.

6. Account Termination

If you wish to terminate your account, you may do so by submitting a request to our support team. Once we receive your termination request, we will review and process the deletion of your account and associated data in accordance with our data retention policies.

Please note that your access to the Service will continue until the termination is confirmed. We reserve the right to suspend or terminate your account if you violate these Terms, misuse the platform, or engage in behavior that compromises security, performance, or user experience.

7. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also introduce new features or make changes to pricing or account structure. Continued use of the Service following any updates constitutes your acceptance of those changes.

8. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. We make no warranties regarding the reliability, availability, or performance of the Service. To the fullest extent permitted by law, WorkOwl disclaims all warranties, express or implied.

WorkOwl and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Service.

9. Service Availability and Maintenance

We strive to ensure that WorkOwl is available and functioning at optimal performance levels 24/7. However, we cannot guarantee uninterrupted access and may occasionally need to perform maintenance or updates, which could result in temporary downtime. Wherever possible, we will notify users in advance of any planned maintenance that may impact service availability.

Unplanned outages may occur due to technical issues, server errors, or third-party disruptions. In such events, we will act promptly to restore service and keep users informed through appropriate communication channels.

10. User Responsibilities

By using WorkOwl, you agree to use the platform in a responsible, ethical, and lawful manner. This means respecting the rights of other users, complying with all applicable laws and regulations, and ensuring that your behavior does not negatively impact the Service or its community. You must not engage in any activity that:

Violation of Law: Engaging in any conduct that violates applicable laws, regulations, or industry standards.

User Harm or Harassment: Harassing, threatening, abusing, or otherwise harming other users of the platform, directly or indirectly.

Service Interruption: Intentionally interfering with or disrupting the normal functioning, security, or accessibility of the Service.

Unauthorized Access: Attempting to gain unauthorized access to systems, data, user accounts, or any restricted areas of the platform.

You are solely responsible for the accuracy of the data you upload and for maintaining the confidentiality of your account credentials. You agree to immediately notify us of any unauthorized use of your account or any other security breach.
